GENERAL TERMS AND CONDITIONS OF B2B CONTRACT
1. INTRODUCTION
These General Terms and Conditions of Contract (hereinafter referred to as the “GTC”) govern the online quote process and establish the terms and requirements regulating the relationship between the parties. By accepting these General Terms and Conditions, the Customer fully agrees to all provisions contained herein.

3. APPLICABLE LEGISLATION
This agreement is subject to U.S. federal and state laws and regulations, including the Uniform Commercial Code (UCC), FTC guidelines, the CAN-SPAM Act, and applicable state privacy laws (CCPA).
4. LEGAL CAPACITY OF THE CUSTOMER
To qualify as a Customer, the buyer must act in their capacity as a professional, entrepreneur, or legal entity, and must have the legal capacity to be bound by the contract. Transactions involving minors are strictly prohibited.
During the online offers and quotes process, the Customer must fully and unreservedly accept the General Terms and Conditions, which will always be included for acceptance prior to finalizing the purchase, as well as in the confirmation process for the purchase, so that they may be saved by the Customer for reproduction when necessary.
5. TERRITORIAL SCOPE
This platform deems as territorial scope those markets and countries listed in the online offer and quote process.
In the event that the Customer requires the product to be delivered to a geographical area not covered by the online offer and quote process, the Customer Service department must first assess the feasibility of delivery and send the Customer a specific budget indicating costs and shipping dates.
6. INFORMATION ON THE GENERATION OF QUOTES
To generate online quotes, the Customer must use the following process:
- 1. Register as a professional to access online purchasing (for this, the Customer must have a business account; access from “training” accounts is not permitted). The Customer will then undergo a validation process to gain full access to product and pricing information.
During validation, AZNA’s sales team will assign the Customer payment methods and terms appropriate to their profile in accordance with the Company’s internal policy. These payment methods and terms may be modified by AZNA without prior consent from the Customer. - 2. Select the product or products to be included in the quote, or use the quote wizard to draw up a list of items that are then added to the quote or offer made by the Customer.
- 3. After selecting each product to be included in the quote, the Customer will have several options, namely:
- Edit the completed quote.
- Convert the completed quote into an order.
- Download the completed quote.
- Duplicate the quote.
- Change the status of the quote to “rejected.”
- 4. If the quote is converted into an order, the Customer will receive order confirmation via email within 48 business hours. This confirmation will include the following information:
- Order confirmation document with the items and prices that make up the order, as well as the total amount of the order.
- Estimated factory shipping date.
- 5. The payment methods and terms will correspond to those assigned to the Customer by AZNA’s sales team during the registration process on the platform.
7. CANCELLATIONS / MODIFICATIONS
The Customer has the right to cancel their order within a maximum period of 24 business hours after receiving the order confirmation by sending a request via email to the back-office department at sales_na@airzonecontrol.com.
All requests for order modifications or cancellations must be submitted to the same email address. Only those approved by the sales representative or, if unavailable, the back-office department will be authorized. The Customer will be responsible for any costs incurred as a result of the cancellation. Requests for cancellations or modifications submitted more than 24 business hours after order confirmation will not be accepted.
8. RETURNS
If the offer or quote is eventually converted into an order, the Customer may return the purchase within 15 calendar days from the date of receipt of the merchandise. The Customer must initiate the cancellation process through their private user area. Once the returned merchandise is received and confirmed to be in good condition, AZNA will promptly issue a refund for the corresponding amount.
A notification regarding the status of the request will be sent and can be checked in the Customer’s private user area. Return requests will expire 40 calendar days after their acceptance.
The refund amount, if applicable, may be subject to depreciation depending on the type of item and its condition. We will inform you of this through the platform in your private user area.
9. PRICE AND PAYMENT METHODS
All product prices are listed in U.S. dollars (USD) and include applicable taxes. AZNA shall not be responsible for any customs duties, import taxes, or similar charges incurred during the delivery of products to countries outside the United States. Such fees will be the sole responsibility of the Customer, unless otherwise explicitly agreed upon in writing by AZNA and the Customer.
Payment for orders placed will be made by bank transfer to the following account:

10. SHIPPING COSTS
Shipping costs depend on the delivery location. Therefore, once the product or products to be purchased have been selected and the delivery address has been entered, the shipping costs will be calculated and communicated to the Customer.
11. SHIPPING TIMES
Shipping times depend on the delivery address provided by the Customer. Once the product or products in the offer are selected and the delivery address is entered, and provided that the offer or quote is converted into an order, the factory shipping date will be communicated to the Customer in the order confirmation.
12. RESERVATION OF TITLE
The products sold remain the exclusive property of AZNA until full and final payment has been made. If the Customer resells any products before payment to AZNA is complete, the Customer agrees to notify the subsequent buyer of this clause and of AZNA’s right to claim either the delivered products or their purchase price from the subsequent buyer.
13. FORCE MAJEURE
Neither party shall be held liable to the other for any delays or failures to fulfill their contractual obligations due to force majeure events, especially in the following cases: natural disasters, fires, explosions, accidents for which they are not responsible, strikes, epidemics or pandemics recognized by the World Health Organization, or other causes beyond their reasonable control.
In the event of force majeure, AZNA may temporarily suspend product deliveries and/or service execution without such suspension being considered a breach of its obligations under these General Terms and Conditions of Sale (GTC). AZNA will notify the Customer in writing of any such contract suspension. If the suspension extends beyond three (3) months, the affected sales or service contracts shall be deemed automatically terminated.
14. WARRANTY
All products delivered from April 1, 2025 onward are covered by a warranty based on their category:
- • 5 years for mechanical products (diffusers and motorized or non-motorized dampers)
- • 3 years for all other products
Products delivered prior to April 1, 2025 would have a 3 year warranty.
The warranty does not cover damage caused by misuse, normal wear and tear, or defects resulting from negligence, impacts, improper use or handling, storage under unsuitable conditions that may damage the product (such as extreme temperatures or humidity), incorrect voltage, electrical incidents, improper installation and/or use not performed by authorized Technical Service when applicable, nor materials subject to wear from normal use. The warranty will be voided for any product modified or repaired by the Customer or any party not authorized by Airzone North America Corp. (AZNA).
Repairs or replacements of defective products will be free of charge, including shipping costs.
In the absence of evidence to the contrary, products shall be considered to fulfill the purchase agreement if they meet the following requirements:
- They are fit for the purposes for which products of the same type are ordinarily used.
- They have the quality and performance that the End User can reasonably expect from a product of the same type, given its intended use.
- If a part is defective and within the warranty period, the Customer may return it. In such cases, Airzone will cover the shipping costs incurred for the delivery and return of the part. Airzone will send the repaired part or a new replacement free of charge.
- Airzone will provide the Customer access to the designated shipping company for collection of the defective part at no cost. If the Customer chooses a different shipping company and it incurs higher costs, the Customer is responsible for the difference.
- If the Customer returns a part claiming a defect or error, but no defect or error is found, Airzone will return the part to the Customer and charge for the shipping costs.
- The warranty shall only be valid if the application is entirely composed of parts manufactured and distributed by Airzone, both mechanically and electronically.
- All products and components replaced by the installer and returned to Airzone will become the property of Airzone.
Elements excluded from the warranty:
- • Labor and travel costs for periodic inspections, maintenance, repairs, and replacement of parts, including replacement of parts worn out through normal use.
- • Accessories, parts with limited lifespan, and operational materials.
- • Products with defects not caused by Airzone, but resulting from:
- Damage caused by improper use or storage.
- Defects arising after sale due to fire or flooding.
- Defects caused by electrical accidents.
- Damage resulting from modifications, repairs, expansions, or installations carried out by unqualified personnel or not following installation instructions.
- Damage due to installation or use that does not comply with technical and safety regulations.
- Damage caused by improper use or use not in accordance with installation and user manuals.
- Damage resulting from missing or illegible serial numbers.
AZNA shall not be liable for failure to provide warranty services when repair or replacement of products cannot be performed due to import restrictions or legal provisions.
The equipment must not contain personal or confidential data, and Airzone shall not be held responsible for any information stored on it.
Warranty Procedure
Please note that only our direct Customers may request warranty replacements.
Our products are manufactured under a rigorous quality control system. However, if, following a proper diagnostic process by our technical support team, a product is determined to be defective and still within the warranty period, we will replace it at no cost.
Once the replacement part has been delivered to the Customer, Airzone will coordinate the collection of the defective part.
As a standard company procedure, any part shipped internationally by Airzone will be temporarily invoiced, with a credit issued for the same amount once the defective part has been received at our facilities.
Any defective part not returned to our facilities will incur the corresponding invoice charges.

15. TECHNICAL SUPPORT AND CUSTOMER SERVICE
AZNA provides Customers with a contact channel to address requests and inquiries related to the products purchased on the website, through the private user area.
Additionally, AZNA offers a complaints and claims form that is available to Customers upon request.
16. DATA PRIVACY
AZNA complies with U.S. privacy laws (such as the CCPA). Data is used to manage orders, improve service, and for marketing purposes (with consent).
17. COMPLIANCE WITH CCPA/CPRA (CALIFORNIA)
If you reside in California, you have additional rights under the California Consumer Privacy Act (CCPA) and its amendment, the California Privacy Rights Act (CPRA):

- • Quotes and online orders (professional): The data collected in the online order process will be processed for the purpose of managing quotes, and, if applicable, the delivery of orders placed, managing the invoicing process, and providing After-Sales and Customer Service to the Customer.

- • Sending commercial communications: In cases where the data subject has given their unequivocal consent to receive commercial communications, their data will be used to send them personalized communications about our products and services. - • Quality surveys: If the User participates in one of our quality surveys, the information will be processed to analyze satisfaction levels regarding the services and products offered, as well as to implement necessary improvements to ensure optimal operational conditions and efficiency in marketing and customer service processes.
- • Testers: The personal data of participants in tests carried out on our products and services will be processed in order to analyze their features and assess, where appropriate, opportunities for improvement.
- • Training: Data will be processed for the sole purpose of facilitating participation in the training activities selected.

4. NATURE OF THE DATA PROCESSED
- • User registration and online quote and order process and management: The data collected is limited to identifying data, contact data, and, where applicable, commercial activity data, invoicing data, and data related to the products purchased through this online purchase process.
- • Sending personalized commercial communications and profile analysis: The data collected is limited to identification and contact details (such as postal or email address). With regard to profile analysis, aggregated and pseudonymized (cookies, pixels, or similar technologies) data is used, which allow us to make estimates, forecasts, and analyses about our users’ interests.

- • Training: The data collected is limited to identifying and contact data in order to facilitate participation in the training activity.
- • User registration, quote and online order management, and after-sales service: The data collected is limited to identifying data, contact data, and where applicable, commercial activity data, invoicing data, and data related to the products purchased through this online process.
- • Mandatory fields in forms: When we ask you to provide personal data through a form to access a specific feature or service, certain fields will be marked as mandatory if the information is necessary to provide the service or grant access to the requested feature. Please note that if you choose not to provide this information, you may be unable to complete your User registration or use the requested services or features.
5. DATA RETENTION
- • Data provided in the registration process will be retained indefinitely unless the User requests that their data be deleted from our user register, in which case we will proceed to immediately remove the information related to that User.
- • Information related to the process of submitting quotes and managing online orders will be retained for as long as necessary to manage the quote and, where applicable, process the order. Order history data will be retained for the duration of the contractual relationship with the Customer.
- • In cases in which the User had expressed their unequivocal consent for receiving commercial communications, as well as in relation to the processing of data from the analysis of User profiles and preferences, the data will be retained indefinitely, unless the data subject manifests their opposition to processing, in which case the data will be immediately eliminated.
- • Data collected via the contact form will be kept for the period of time necessary to respond to the query or request for information sent by the User. Subsequently, the data will be retained in an appropriate blocked format during the term of prescription of legal actions, and will be eliminated once this period has passed.
- • Renewal Plan: Data will be retained for the time necessary to manage the implementation of the Renewal Plan. Subsequently, data will be blocked for the duration of the statute of limitations and deleted once that period has expired.
- • Work with us: Data submitted as part of a selection process will be retained for the time necessary to manage said process and will subsequently be deleted, unless the candidate has authorized its retention for the purpose of being included in future selection processes. In the case of a résumé submitted as part of an unsolicited application, the data will be retained for a period of two (2) years.
- • Publication of reviews: Reviews may remain published on the website as long as the User does not request their removal. Likewise, the company reserves the right to remove any content that may be unlawful or infringe upon the rights of third parties.
- • Quality surveys: Data obtained through satisfaction surveys will be retained for the time necessary to develop strategies for improving internal processes based on the feedback received. Thereafter, the data will be kept blocked for the duration of the statute of limitations for legal claims, and once that period has expired, the information will be deleted.
- • Training: Data related to training activities will be retained as long as the User account is active, so that the individual can access their training history. However, the User may request at any time the deactivation of their account and/or the deletion of information related to the courses in which they have participated.
- • Data related to After-Sales Service, including Complaints and Claims, will be retained for the time necessary to handle customer requests, enforce product warranties where applicable, and address potential complaints and claims. Once resolved, data will be duly blocked for the duration of the statute of limitations for legal claims and subsequently deleted.
6. VERACITY OF THE INFORMATION PROVIDED
- • Data provided in the registration process will be retained indefinitely unless the User requests that their data be deleted from our user register, in which case we will proceed to immediately remove the information related to that User.
- • Information related to the process of submitting quotes and managing online orders will be retained for as long as necessary to manage the quote and, where applicable, process the order. Order history data will be retained for the duration of the contractual relationship with the Customer.
- • In cases in which the User had expressed their unequivocal consent for receiving commercial communications, as well as in relation to the processing of data from the analysis of User profiles and preferences, the data will be retained indefinitely, unless the data subject manifests their opposition to processing, in which case the data will be immediately eliminated.
- • Data collected via the contact form will be kept for the period of time necessary to respond to the query or request for information sent by the User. Subsequently, the data will be retained in an appropriate blocked format during the term of prescription of legal actions, and will be eliminated once this period has passed.
- • Renewal Plan: Data will be retained for the time necessary to manage the implementation of the Renewal Plan. Subsequently, data will be blocked for the duration of the statute of limitations and deleted once that period has expired.
